Deputy General Counsel

Our client is seeking a Deputy General Counsel to join their team. This role offers an exciting opportunity to provide strategic legal counsel and expertise across all areas of the business, with primary responsibility for matters arising from public markets strategies and real assets. The successful candidate will be a self-starter with strong legal and analytical skills, excellent communication abilities, and the flexibility to manage a wide range of transactions and projects.

What you'll do:
As a Deputy General Counsel, you will play a pivotal role in providing strategic legal advice across all areas of the business. You will serve as the primary US-based legal counsel for all public market strategy teams, assisting them with various aspects such as deal structuring, contract negotiation, fund launches, product structuring, and more. Your ability to perform legal research and analyse regulatory issues will be crucial in this role. You will also provide support on counterparty documents and offer your expertise on global asset management matters.
• Providing strategic legal counsel to senior business leaders on material legal matters and associated risks.
• Serving as primary US-based legal counsel for all public market strategy teams.
• Assisting the real assets team with deal and fund structuring, including coordinating tax and legal advice with outside counsel.
• Drafting and negotiating investment management agreements, side letters, letters of direction, and other client contracts.
• Coordinating fund launches and product structuring, including working with outside counsel on legal documentation drafting.
• Providing legal advice relevant to a global asset manager, including assistance with participating affiliate agreements and internal services contracts.
• Providing support on counterparty documents, including ISDAs, MRAs and FCAs.
• Performing legal research and analysis of legal and regulatory issues.


What you bring:
The ideal candidate for the Deputy General Counsel position holds a JD degree from an accredited law school and is licensed to practice law in Illinois. They bring a minimum of 8 years of asset management industry experience and have a proven track record in dealing with investment adviser regulatory matters, ERISA, and investment fund launches. They are experienced in managing direct reports and possess an executive presence. Their ability to perform risk-based legal and compliance analysis is crucial for this role. A collaborative, team-oriented work ethic and commitment to building an inclusive and diverse team culture is also required.
• JD degree from an accredited law school
• Licensed to practice law in Illinois
• A minimum of 8 years of asset management industry experience with law firm or company required
• Experience with investment adviser regulatory matters, ERISA and investment fund/investment company launches, filings and regulatory matters required
• Experience managing direct reports, including non-lawyers, required
• Executive presence and executive voice required
• Ability to do risk-based legal and compliance analysis required
• Collaborative, team-oriented work ethic and commitment to building an inclusive and diverse team culture required
