Funds Attorney
Our client is looking for a proficient and proactive Funds Attorney to become part of a dynamic alternative investment firm. This role is ideal for an individual who is keen to expand their skills and knowledge within the hedge fund sector. The successful candidate will be a crucial member of the legal and compliance team, supporting both existing funds business and new business initiatives.
Key Responsibilities:
As a Funds Attorney, you will play a crucial role in reviewing, documenting, and assisting in the negotiation of investments in underlying hedge funds. You will also be responsible for drafting side letters with investors while supporting the firm's existing funds. Your role will extend to advising on securities law and other regulatory issues associated with operating private investment funds. You will have the opportunity to analyze new and existing laws and regulations while negotiating counterparty relationships. Your excellent attention to detail will be utilized when reviewing marketing material disclosures.
- Review, document, and assist in the negotiation of investments in underlying hedge funds
- Draft and assist in the negotiation of side letters with investors
- Support the firm’s existing funds of funds, including updates to PPMs, organizational documents, subscription documents, and investment management agreements
- Actively partner with other functional groups to support new business initiatives
- Advise on securities law and other regulatory issues associated with operating private investment funds
- Analyze new and existing laws and regulations
- Negotiate and document counterparty and borrowing relationships
- Review and draft disclosures for marketing materials
- Review and negotiate vendor agreements and NDAs
Key requirements:
The ideal candidate for this Funds Attorney position brings 3-4 years of legal experience as a private funds or investment management solicitor. You have proven experience with fund formation, drafting complex agreements, disclosure documents, and managing regulatory issues related to private funds. Your ability to handle multiple competing demands from exacting stakeholders sets you apart. You are known for your conscientiousness, proactivity, intellectual curiosity, collaborative team player mentality, excellent analytical abilities, strong communication skills, outstanding attention to detail and organizational abilities.
- 3-4 years of legal experience as a private funds or investment management solicitor
- Experience with fund formation, drafting complex agreements, disclosure documents, and managing regulatory issues related to private funds and registered investment advisers
