Key Responsibilities:
In the capacity of Investment Funds and Corporate Paralegal based in Greenwich, CT, you will assume a central role in supporting the legal department through a wide range of responsibilities. Your daily undertakings will encompass drafting precise legal documentation utilizing established templates for both domestic and international regulatory filings. You will be entrusted with preparing board materials—agendas, notices, resolutions—and ensuring their prompt dissemination. Your expertise will be invaluable when assisting with formation documents for various corporate entities and investment funds. Maintaining thorough records via electronic filing systems will be integral to your success; you will also oversee the firm’s register of funds within proprietary platforms. Responding to investor queries or KYC requests will require your diligence and refined communication skills. Facilitating account openings for new funds or supporting regulatory filings will engage you in meaningful work that directly influences the organization's operations. Special projects may arise where your adaptability is demonstrated as you collaborate closely with colleagues across departments.
- Provide comprehensive support to the legal team across a broad spectrum of corporate governance initiatives and fund-specific workflows, ensuring all documentation adheres to regulatory standards.
- Employ established templates to prepare standardized legal documents for regulatory, state, and international filings with meticulous attention to accuracy and compliance.
- Draft detailed corporate governance materials including board agendas, notices, resolutions, minutes, and coordinate the preparation and timely distribution of board meeting documentation.
- Assist in the drafting, review, and coordination of formation documents for corporate entities as well as registered, unregistered, and foreign investment funds; this includes side letters and ancillary agreements.
- Maintain the document retention system by organizing electronic filing and distribution of all corporate and investment fund-related organizational documents, agreements, offering materials, and other essential records.
- Administer the firm's register of existing and newly established investment funds within the proprietary relationship management system to ensure information remains current for internal stakeholders.
- Prepare and file registration statements along with other regulatory documentation for registered investment companies in accordance with prevailing industry standards.
- Respond promptly and professionally to investor questionnaires, requests for proposals (RFPs), know-your-customer (KYC) inquiries, client requests or service provider queries.
- Facilitate the opening of custody and trading accounts for both the firm and its investment funds by liaising with relevant parties to ensure seamless onboarding processes.
- Support the preparation and review of various regulatory filings as well as tax submissions while collaborating on special projects as directed by the legal team.

- Proven proficiency in administering corporate governance records or investment fund-related documents using advanced document management systems such as WorkShare or iManage.
