Alternative Investment Management Attorney
Our client is seeking an Alternative Investment Management Attorney to join the esteemed ranks of a prominent, multi-manager, multi-strategy investment firm headquartered in New York City. As a valued member of this forward-thinking team, you will play an integral role in addressing the legal and regulatory requirements of a diverse array of investment strategies and supporting over one hundred alternative asset managers on a global scale.
Key Responsibilities:
In your capacity as an Alternative Investment Management Attorney within this accomplished Legal & Compliance team, you will be entrusted with supporting both routine operations and strategic projects spanning a wide spectrum of alternative asset classes. Your acumen will be essential in reviewing intricate agreements related to separately managed accounts and bespoke investment vehicles. You will also provide vital assistance in maintaining up-to-date documentation for commingled funds. Working collaboratively with colleagues from multiple departments, you will help drive new business initiatives forward by ensuring that all legal aspects are comprehensively addressed. Your ability to interpret evolving regulations will be invaluable as you advise on compliance matters affecting private funds registered with leading regulatory authorities. Furthermore, your proficiency in preparing disclosures for marketing materials and negotiating vendor contracts will uphold the firm's reputation for integrity. - Conduct thorough reviews, prepare documentation, and assist in the negotiation of capital allocations under separately managed account agreements, ensuring all terms are meticulously aligned with regulatory frameworks and organizational objectives.
- Oversee the review, documentation, and negotiation processes for investments in bespoke investment vehicles, working closely with internal stakeholders to facilitate seamless transactions.
- Provide ongoing support for existing commingled investment funds by updating private placement memoranda (PPMs), organizational documents, subscription agreements, and investment management contracts as required.
- Draft and negotiate side letters with investors, maintaining clear communication channels and fostering constructive relationships throughout each engagement.
- Collaborate actively with colleagues across various functional groups within the organization to support new business initiatives, ensuring legal considerations are integrated from inception through execution.
- Offer expert advice on securities law and other regulatory matters pertinent to the operation of private investment funds registered with the SEC and CFTC, including ERISA compliance, Reg SHO, Rule 105 of Reg M, and associated regulatory filings.
- Interpret new and existing legislation to provide timely guidance regarding their implications for fund operations and compliance obligations.
- Prepare and review disclosures for marketing materials to ensure accuracy, transparency, and adherence to all applicable legal standards.
- Review and negotiate vendor agreements as well as non-disclosure agreements (NDAs), safeguarding the firm's interests while facilitating productive external partnerships.

- A minimum of five years’ relevant experience as an attorney specializing in alternative investment management or closely related fields is required for this appointment.
- Demonstrated mastery of fund formation processes as well as separately managed account arrangements is indispensable for success in this role.
- Comprehensive familiarity with laws and regulations governing SEC-registered investment managers—including ERISA, Reg SHO, Rule 105 of Reg M—and experience managing regulatory filings such as Form ADV, Form PF, Form 13G/D, Forms 3/4/5 is highly regarded.
- Experience handling documentation pertaining to direct investment activity alongside associated legal or regulatory considerations is considered advantageous.
