- Provide counsel to fund sponsors, underwriters, and service providers regarding the structuring, offering, operation, ongoing financing, and regulatory compliance of registered investment companies such as closed-end funds, mutual funds, exchange-traded funds, and business development companies.
- Deliver comprehensive corporate and regulatory guidance to boards of directors overseeing registered investment companies and business development companies.
- Collaborate closely with colleagues specializing in mergers and acquisitions on matters about the 1940 Act as they relate to asset manager transactions.
- Contribute to the formulation and execution of leveraging strategies for closed-end funds and business development companies, including rights offerings and preferred stock issuances.
- Assist clients in navigating emerging structures and strategies for registered and regulated investment companies by maintaining awareness of industry trends and regulatory developments.
- Draft, review, and negotiate complex legal documentation associated with fund formation, operations, offerings, and compliance matters.
