Compliance Manager, Private Credit
A global investment firm is seeking a Compliance Director to lead compliance oversight for its Private Credit division, including BDCs, private funds, separately managed accounts, and CLOs. This role will design, test, and manage compliance programs while partnering with senior leadership, legal, finance, operations, and investment teams. Key Responsibilities:
As Compliance Director – Private Credit, you will help lead the compliance framework for a broad range of investment vehicles. You will work closely with legal, finance, operations, investment teams, service providers, and independent directors. Key responsibilities include preparing board materials, reviewing transactions for regulatory compliance, developing policies, coordinating annual reviews, and supporting private fund oversight. You will also manage regulatory inquiries, review investor communications, oversee third-party relationships, and contribute to initiatives that improve the compliance function. Success in this role requires strong judgment, relationship-building skills, and the ability to identify gaps and drive practical solutions.
- Lead and maintain compliance programs for BDCs, private funds, and related Private Credit products.
- Review private credit transactions for regulatory compliance, including co-investment and affiliated transaction requirements.
- Prepare compliance reports and board materials while serving as a key contact for independent directors.
- Partner with legal, finance, operations, investment teams, and service providers to strengthen policies and workflows.
- Manage regulatory inquiries, annual reviews, and initiatives to improve the overall compliance program.
Key Requirements:
To excel as Compliance Director – Private Credit, you will bring substantial asset management compliance experience, ideally across BDCs, registered funds, and private credit strategies. You should have hands-on experience supporting complex compliance programs under regulations such as the Investment Company Act, including preparing board-level materials and working with independent directors. Strong collaboration skills are essential, as you will partner with investment, finance, operations, and legal teams throughout deal execution and ongoing oversight. Experience managing third-party relationships, identifying compliance risks, and improving processes will be important to success in this role. The ideal candidate demonstrates sound judgment, high integrity, discretion, strong communication skills, and excellent organization.
- Bring 8–12 years of compliance experience with investment advisers, registered funds, or BDCs.
- Apply strong knowledge of Investment Company Act compliance programs, co-investment rules, affiliated transactions, and fund governance.
- Prepare board and regulatory materials with confidence, clarity, discretion, and attention to detail.
- Partner effectively with investment, finance, operations, legal, service provider, and leadership teams across deal lifecycles.
- Demonstrate sound judgment, initiative, organizational strength, and the ability to manage risks, processes, and stakeholders.
