A leading financial services institution is seeking an Investment Banking Attorney to join its Legal Department in New York. The role supports capital markets and advisory transactions while partnering with senior bankers, business stakeholders, and external counsel. You will advise on complex deals and regulatory matters, gaining valuable industry exposure. Key Responsibilities:

As an Investment Banking Attorney, you will support capital markets and advisory transactions by negotiating client agreements and providing legal guidance on deal structures. The role involves advising on complex regulatory issues and drafting transaction documents in collaboration with external counsel. You will also serve as a trusted advisor to key internal committees and stakeholders. Working closely with regulatory counsel, you will help ensure compliance with SEC and FINRA requirements. Success in this role requires strong legal expertise, commercial awareness, and the ability to build effective relationships across the business.

  • Negotiate engagement letters, non-disclosure agreements, and transaction documents, ensuring alignment with business objectives and regulatory requirements.
  • Provide legal counsel on deal structuring, client onboarding, and legal risks associated with equity and debt capital markets transactions.
  • Advise internal stakeholders on U.S. securities laws, regulatory developments, and compliance obligations throughout transactional activities.
  • Represent the Legal Department on internal committees supporting financial advisory, capital markets, fairness opinions, and municipal finance matters.
  • Collaborate with regulatory counsel and business teams to support SEC and FINRA reviews, manage compliance, and uphold risk management standards.

Key Requirements:

To succeed in this role, you will have extensive experience supporting complex capital markets transactions within a leading law firm or financial institution. You will possess strong knowledge of U.S. securities laws and regulatory frameworks, including SEC and FINRA requirements. The ideal candidate combines technical expertise with excellent interpersonal skills, demonstrating reliability, responsiveness, and a collaborative approach. You will be highly organized, detail-oriented, and capable of managing multiple priorities in a fast-paced environment. A strong commitment to ethical practice and clear communication is essential to ensuring compliance and supporting business objectives.

  • Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the New York State Bar.
  • 3–5 years of experience advising on capital markets transactions or investment banking matters within a law firm or financial institution.
  • Strong knowledge of SEC and FINRA regulations with the ability to navigate complex compliance requirements.
  • Excellent analytical, critical-thinking, and problem-solving skills, with a high level of attention to detail and accuracy.
  • Outstanding written and verbal communication skills, coupled with strong computer proficiency and the ability to manage multiple priorities effectively.
